Dear USNS Members,
I am delighted to announce that On Wednesday, March 15, the Unrecognised States Numismatic Society was officially incorporated in the State of California.
I would like to specially thank Mr. Stephen Vogelsang, who went out of his way and filled in the paperwork, submitted the forms and made this a reality. Thanks a lot Stephan!!!
You may check the legal status of the USNS at the Cal Sec State website; businessfilings.ss.ca.gov, and enter our new corporate number # C2858935.
Our abbreviated Articles of Incorporation, which Stephen sent in many weeks ago, was accepted by the Cal Sec of State. The 4 copies of our Articles were stamped and numbered, and returned to us. This enables us to begin the process of "fictional name" request with the Castaic Signal and LA County. When completed, we can then apply with the IRS and State FTB for non-profit status.
We do need one thing from one of our members at this point. Along with our acceptance package was a follow-up form, SI-100 "Statement of Information" which asks a few simple questions, all contained in our original Charter document.
However, according to Corporation Code Sections 5213/9213, the President cannot serve concurrently as Secretary or Financial Officer. It does indicate that any other officer may serve in any number of other offices, except President (CEO).
This does not mean that functions of the finance/treasurer cannot be performed by the President. But, it does mean we need to list one USNS member as the official financial officer on this document.
Since we have members who reside outside the USA, we encountered no restrictions. From a practical stand point, we assume that eventually we will wish to open a bank account in the name of the USNS. This would seem to prohibit a non-US resident, unless essentially ALL "treasurer-type" duties are performed by another officer here in USA. Normally the financial statements, forms, and tax returns would be filed by this officer, thus restricting us to US residents. However, the form does not indicate any prohibition on assigning these duties to another officer.
Stephan's recommendation is that I assign or appoint an individual to officially be Treasurer, for purposes of our paperwork, and continue performing such duties myself. I am reluctant of doing so, unless most of the members endorse this.
We must submit this document with the Secretary of State by May 27.
